Local Company (PT / PMDN)
A locally owned limited liability company for businesses that don't need foreign ownership.
About this service
Set up a locally-owned Indonesian PT for businesses that don't require foreign ownership. Faster and cheaper than a PMA, with lower capital requirements.
Who this is for
- Local partnerships
- Nominee-free local ventures
What you'll need
We confirm the exact list for your case before we start - requirements can differ by regency and situation.
What's included
- Company deed
- NIB licence
- Tax registration
When a local PT fits
A PT PMDN (domestic investment company) is owned by Indonesian citizens or Indonesian companies. It's the right vehicle when all the shareholders are Indonesian - for example, a business started by an Indonesian partner or spouse.
Local PT or PMA?
- Lower capital requirements than a PMA
- Access to some business activities reserved for Indonesian or smaller businesses
- No foreign shareholders - bringing one in later means converting to a PMA
Nominee structures
A local PT secretly controlled by a foreigner through a nominee isn't legally protected. If you're a foreigner who wants to own the business, a PMA is the safe route.
Setup steps
Name reservation, deed of establishment, Ministry of Law approval, tax number and NIB through OSS, and any permits your activities need.
After setup
Local PTs file tax returns and LKPM reports like any licensed company - we can handle both.
Questions about Local Company (PT / PMDN)
Can a foreigner be a director of a local PT?
A foreign director needs a Working KITAS, and some positions are restricted. If foreigners will be involved in running the business, a PMA is usually the better structure.
Can a local PT become a PMA later?
Yes - by bringing in a foreign shareholder through a deed amendment and updating its licences to PMA status, provided its business activities are open to foreign investment.
How long does setup take?
Usually one to two weeks for the deed, approval, tax number and NIB. Permits for higher-risk activities take longer.
