What a PT PMA is

A PT PMA (Penanaman Modal Asing) is an Indonesian limited liability company with foreign shareholders. It's the standard way for foreigners to own a business in Indonesia legally - instead of relying on a nominee - and it can sponsor Investor and Working KITAS permits.

Ownership and business activities

Whether a PMA can be fully foreign-owned depends on its business activities (KBLI codes). Most sectors are open to 100% foreign ownership, but some are limited or reserved for Indonesian businesses. We check your planned activities before anything is drafted.

Capital requirements

PMA companies must meet an investment value per business activity and location, and a minimum paid-up capital. These figures are set by regulation and have been revised in recent years, so we confirm the current amounts for your structure.

The setup process

  1. Choose KBLI codes, shareholders and structure
  2. Reserve the company name and sign the deed of establishment with a notary
  3. Ministry of Law approval
  4. Tax number (NPWP) and NIB through OSS
  5. Any risk-based permits your activities need, and a bank account
  6. Investor KITAS for shareholders who will live in Indonesia

Running the company

After setup, a PMA files quarterly LKPM investment reports and monthly and annual tax returns, and keeps its licences current. We offer these as ongoing services, so your company - and your KITAS - stay in good standing.

Questions about Foreign Company Setup (PMA)

Can a PMA be 100% foreign-owned?

In most business sectors, yes. Some activities are restricted or closed to foreign investment, so it depends on your KBLI codes.

How many shareholders do I need?

At least two, which can be individuals or companies. We help you structure it.

Can the PMA sponsor my KITAS?

Yes. Shareholders who meet the requirements can hold an Investor KITAS sponsored by the company, and the company can sponsor Working KITAS permits for staff.
